Legal Counsel
Join our team as Legal Counsel driving international contracts within a global family. This role requires fluency in German and can be based in one of the following locations: Aberdeen, Celle, Copenhagen, Frimley, Gdansk, Manchester, Oslo, Schiedam, or Vechta.
NOV is a worldwide leader in the design, manufacture and sale of equipment and components used in oil and gas drilling and production, the provision of oilfield inspection and other services, and supply chain integration services to the upstream oil and gas industry.
DUTIES & RESPONSIBILITIES:
- Take the lead to identify and advise tender team on steps to mitigate potential contractual, insurance and commercial risks;
- Review and qualify general and special conditions contained within client invitations to tender;
- Attend calls and meetings as required with prospective clients and major suppliers to negotiate and arrive at acceptable terms and conditions of contract:
- Draft, review and revise confidentiality agreements, mutual hold harmless agreement and other legal documents relating to tenders;
- Draft, review and revise terms and conditions of general commercial, frame and service contracts;
- Providing guidance to contracts, supply chain and project personnel on contractual wording/risk mitigation and advising on contractual interpretation;
- Draft and review general legal agreements including leases, co-operations agreements, representation agreements, exclusivity agreements;
- Instruct external legal counsel;
- Other tasks may be general HR and employment law related matters, corporate legal support including company secretarial matters; training to other departments, general legal advice to the UK and Continental Europe including keeping abreast of legal updates and other matters as directed by the Regional Counsel.
QUALIFICATIONS:
- Qualified lawyer/solicitor/attorney (either German, English or Scottish qualified) (Essential)
EXPERIENCE:
- Qualifications or work experience from other jurisdictions in Europe (France, the Netherlands and/or Eastern Europe in particular) (Desirable)
- Experience of reviewing, negotiating and advising on tendering contracts
- Relevant previous experience in a commercial / contracting environment
- Attorney or inhouse counsel experience for an manufacturing/tech company, engineering and/or construction company, and/or oil & gas experience (services, drilling or subsea) (Desirable)
SKILLS, TRAINING, OR SPECIAL KNOWLEDGE:
- You have a good commercial understanding and strong negotiation skills
- Fluency in written and spoken English at negotiation level (Essential)
- Fluent in other European languages, in particular German, Dutch, French or an Eastern European language (Desirable)
